Rain and Shade Solutions is a trading name of Sherlock and Watson Ltd.
The following terms & conditions when buying from Rain and Shade Solutions (which is a trading name of Sherlock and Watson Ltd) will apply to all transactions placed with Sherlock and Watson Ltd t/a Rain and Shade Solutions whether online, by e-mail, by telephone or by post. Please read these T&C’s carefully before placing any order. All contracts shall be governed by and construed in accordance with English Law and any dispute between us will be resolved exclusively in the courts of England and Wales. Nothing in these terms and conditions will be deemed to affect your statutory rights.

All references to the ‘company’, ‘us’ or ‘we’ will refer to Sherlock and Watson Ltd t/a Rain and Shade Solutions and in instances to product manufacturers such as but not limited to Global Parasols Ltd, Kemp Sails Ltd and SD Sails Ltd.
All references to the customer shall mean the person or business purchasing or agreeing to purchase goods from the company. All references to the Web Site shall include reference to all URL’s owned by Sherlock and Watson Ltd
Ordering Terms & Conditions when Buying From Rain and Shade Solutions
Surf through our e commerce store to identify the products you wish to purchase, click on the product, as a single or multiples, and the product/s will be added to your < Basket >. Continue to follow this process until you have completed your collection then click on < Proceed to Checkout > . You may view your basket at any pont during the prcoess.
At < Checkout > you will be asked to fill a < Billing Details > form to ensure the product/s are sold and paid to/by the correct Individual/Company/Organisation and will reach the correct nominated destination and as such the order will be completed.
By committing to make the purchase, you have agreed to have understood the size of each product selected, the capability and limitations of an individual piece of equipment. It is agreed that you have viewed and read the full specification information within our site and that you understand exactly what you are purchasing.

Payment Terms & Conditions when Buying From Rain and Shade Solutions
Note published prices on our website are UK Currency; Pounds (£) Sterling.
Payments for the products sold on our website are processed either through the Paypal platform (which accepts a wide range of Debit and Credit Cards and other payment options) or payments may be made directly to our bank account. The payment options are chosen at checkout stage. If you are shopping from outside the UK Paypal will convert the order value from Pounds Sterling into your currency.
Payment is also possible by providing Card information by phone, fax or post. These payments will be processed through the Paypal payments platform.
Acceptance Terms & Conditions when Buying From Rain and Shade Solutions
Once you place an order with us, you will receive an order acknowledgment email stating the items you have ordered. This does not constitute acceptance of your order.
Acceptance is acknowledged when your order has been shipped from our warehouse or suppliers’.
Non-acceptance of your order may be due to: being unable to authorise your payment, the product being unavailable, a product pricing or a description error.
We (Sherlock and Watson Ltd t/a Rain and Shade Solutions) have included this term to protect us in the case that a mistake has been made in pricing, or we have inadvertently under-priced goods, or we are no longer able to supply a particular product for some reason. In the case of a change of price, we will always contact you first to ensure that the price is acceptable before entering the contract with you.
Delivery and Handling Terms & Conditions when Buying From Rain and Shade Solutions
Delivery for Parasols, Sails, Parts, Fixtures and Fittings is included in the online price for mainland UK deliveries unless otherwise noted. Variations will occur for courier deliveries to the Highlands and Islands. In the case of deliveries for large, heavy or multiple products, or Special Orders including bespoke orders delivery may be palletised and may incur a delivery charge. Special Delivery charges will be calculated on an order by order basis relevant to the delivery destination and advised within 3 working days of your initial order. For deliveries beyond Mainland UK, including export, we reserve the right to add shipping charges and we will always inform you of the cost before shipping.
We will act on your order within 1 working day of receipt. Delivery times will depend on stock availability – note that certain parasols, coloured canopies, special powder coat RAL requests are made-to-order and will be subject to lead-time delay. Due to seasonal demand stock items may deplete rapidly and we will advise shortly after receiving your order if a “stock” item needs to be ordered from the manufacturer.
We will send you an “Order Dispatch” notification when your order has been dispatched. This will contain delivery information and expected delivery dates.
All goods are checked before leaving the manufacturers warehouse. No damaged items are ever despatched to customers.
On delivery it is the customers responsibility to inspect the packaging of each item before signing and accepting delivery. Note that if there is any noticeable damage please only sign for “AS DAMAGED” and inform us on +44 (0) 1590 683655 as soon as possible.
Whilst we pack all products as well as possible to cover usual handling issues damage may occur in transit. Please handle packages with care. Please carefully unpack, avoiding use of sharps and thoroughly inspect all products and notify us within 24 hours of delivery if there is any visible damage.
All deliveries must be signed for and the customer agrees that proof of delivery supplied by our delivery company is sufficient evidence to establish that goods have been received.
Tax Charges. For orders made from the UK or the European Union, 20% VAT is added. Sales exported to Vat registered businesses in EC countries may be completed without VAT subject to our receipt of bonafide VAT registration numbers. All other orders are VAT free.

We will not be liable for non-performances of our obligations caused or resulting from industrial disputes or any other circumstances beyond the reasonable control of the company such as Act of God, riots, civil commotion, flood, fire and legislation. If by reason of such circumstances it shall become impossible within a reasonable time for the company to wholly or partly supply the items ordered then the customer’s liability will be limited to the value of the items already supplied together with any associated delivery charges.
Customer Rights Terms & Conditions when Buying From Rain and Shade Solutions
Non Stock Items: If an item is not in stock, we will back order to the manufacturer who will either courier direct to you from their stock or fabricate to order. In these cases you will be emailed with the option to cancel your order if the resultant lead-times are not acceptable.
Returns Policy: Your rights to return goods are protected under the The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
If you wish to return goods, you have 14 days from the date of delivery to notify us and 14 days from date of notification to return the goods to us.
In the case goods are not faulty, you are responsible for the cost and risk of loss or damage incurred when returning the goods. Customers are advised therefore to take out sufficient postal/courier insurance to cover their value.
This returns policy does not affect your rights when we the supplier is at fault – eg: where goods are faulty or mis-described, and we will assume the costs of returning the goods.
In cases where you do not require/want products that are in good working order (i.e. due to error in ordering, or the product is not suitable for the purpose intended) all such goods returned must be un-used, in saleable condition, complete with all original packaging and fixings. Where goods do not reach us in this condition we reserve the right to reduce the refund according to the reduction in value of the goods. In any event note that any goods returned which are not faulty will carry a 25% handling charge, and must be returned within 14 days of receipt.
Note 1: In instances where the Parasols/Sails/Parts/Fittings have been installed, or have been been altered refunds will be minimal.
Note 2: Rights to Cancel or Return does Not Apply to Bespoke Products (eg special RAL colour to parasol frames, made to measure sails) and/or Printed Canopies.
Cancellation: For standard stock items (excludes special orders and bespoke items) you are entitled to cancel your order and obtain a full refund including any delivery charges at any time before despatch. Do this by contacting us by email firstname.lastname@example.org or telephone 01590 683655 / 07921 574895 and quoting the order number supplied to you. Do not delay in contacting our offices in this respect.
Specification: Where we are asked for advice as to the suitability of any product such advice will be given to the best of our ability and in good faith but such advice is only given on the express condition that the Company is exempt from liability for failure in performance resulting directly or indirectly from such advice.
Warranty Terms & Conditions when Buying From Rain and Shade Solutions
If within the warranty period relating to the Goods/Products purchased, a material defect in the Goods shall be discovered and you notify us within 14 days after discovery of such defect giving particulars in accordance with the Manufacturers’ Warranty claim form, you can return the goods to the manufacturer (at your own expense and risk).
The Company will either repair or replace any Goods which are accepted by the Company as being defective.
Any Goods returned must be appropriately packaged and labelled.
The Company will not honour any warranty claim where the Goods have or appear to have been damaged in transit or altered, misused or been tampered with in any way.
If, after testing the Company does not consider the Goods to be faulty the Goods will be returned to you at your expense. Your remedies in respect of any claim under the foregoing express warranty or any condition or warranty implied by law to any other claim in respect of the Goods or any workmanship in relation to them (whether or not involving negligence on the part of the Company) shall, in all cases, be limited to the repair or replacement of the Goods or as noted above.
The Company shall have no liability for costs of installation, removal or inspection costs incurred by the Buyer or any third party in respect of any warranty claim.
The Company’s liability applies only to defects appearing before you make any modification or alteration to the goods and whilst the Goods are being properly used or stored and in particular (but without limitation) the Company shall not be liable in the case of defects arising from normal deterioration or improper use, damage, supply voltage in excess of the stated input voltage or faulty handling by you.
Credit Card Security: Credit Card numbers are fully encrypted via the Paypal payments platform.
